ClickSensei Terms & Conditions

Effective July 15, 2026

1. Agreement and authority

These ClickSensei Terms & Conditions, the applicable role schedule below, and policies referenced by ClickSensei form the agreement between you and ClickSensei for access to the platform. By accepting, you confirm that you are legally able and authorized to bind yourself and, where applicable, your organization. If you do not agree, do not access or use the platform.

2. Accounts and platform access

You must provide accurate information, keep credentials confidential, maintain current contact details, and promptly report suspected unauthorized access. You are responsible for activity under your account and for ensuring that users you invite have appropriate authority. Accounts may not be shared between individuals.

3. Platform role and professional judgment

ClickSensei provides advertising performance management, reporting, workflow, marketplace, and related technology. Recommendations, forecasts, automated analysis, and AI-generated output are informational tools and do not guarantee results. Authorized users remain responsible for reviewing decisions, budgets, campaigns, legal compliance, and business outcomes.

4. ClickSensei Core Services

Within the ClickSensei platform and for clients enrolled in or introduced through ClickSensei, the following services are reserved to ClickSensei. Agencies and Service Partners may not advertise, promote, propose, sell, or provide these services to those clients unless ClickSensei gives prior written authorization:

  • - Technical SEO
  • - Ecommerce SEO
  • - International SEO
  • - SEO content strategy
  • - Content marketing
  • - Link building and digital PR
  • - AI search optimization (GEO)

This restriction does not govern services independently provided outside ClickSensei to customers that were not enrolled in, obtained from, or introduced through ClickSensei. A violation may result in removal of listings, suspension, termination, or permanent exclusion from the platform.

5. Marketplace, confidentiality, and non-circumvention

Marketplace opportunities may initially omit client identity and other confidential details. Recipients may use opportunity information only to evaluate and perform authorized work. Users must not identify, solicit, contract with, invoice, or accept payment directly from a ClickSensei-introduced party to avoid the platform, applicable agency, or agreed process. Confidential information must be protected and disclosed only as needed for an approved project or as required by law.

6. Data use, AI improvement, integrations, and communications

You authorize ClickSensei to process account, campaign, website, support, and project data as needed to provide, secure, maintain, and improve the service. You also authorize ClickSensei to use aggregated or de-identified customer data to develop, train, test, evaluate, and improve its artificial intelligence, machine learning, analytics, benchmarking, and optimization technology. ClickSensei will take reasonable measures designed to prevent de-identified data from being associated again with an identifiable customer and will not attempt to re-identify that data.

ClickSensei will not sell identifiable customer information or disclose it outside ClickSensei for another party's own advertising, marketing, model training, or commercial purposes. Identifiable information may be processed by carefully selected hosting, infrastructure, communications, security, analytics, and technology providers acting on ClickSensei's behalf, subject to contractual confidentiality, security, and data-use restrictions; disclosed when authorized by the customer; or disclosed when required by applicable law. These providers may use identifiable customer information only to deliver their contracted services to ClickSensei and not for their own independent purposes.

You confirm that you have all permissions required to connect advertising platforms, submit personal information, and authorize users. Platform notices, tickets, approvals, and electronic communications may constitute official communications. Third-party products and APIs remain subject to their own terms and availability.

7. Budgets, fees, and taxes

Users must act within their assigned budget authority. A requested budget change may require agency or account approval and is not effective until the platform shows it as approved. Fees, payment schedules, refunds, and taxes are governed by the applicable order, proposal, or subscription terms. Unless stated otherwise, amounts are exclusive of taxes.

8. Acceptable use and content

You may not misuse the platform, interfere with its security, scrape or reverse engineer protected portions, upload malware, impersonate others, violate law or third-party rights, send unsolicited communications, or use data outside its authorized purpose. You retain ownership of content you submit and grant ClickSensei a limited right to host, process, reproduce, and transmit it to operate the service.

9. Availability, suspension, and termination

The platform may change and may occasionally be unavailable. ClickSensei may limit or suspend access to protect users, investigate suspected misconduct, comply with law, address non-payment, or enforce these Terms. Either party may terminate as allowed by an applicable order or written agreement. Confidentiality, payment, intellectual property, liability, dispute, and non-circumvention obligations that should reasonably survive will continue.

10. Disclaimers and limitation of liability

To the extent permitted by law, the platform is provided on an "as available" basis without implied warranties. ClickSensei does not guarantee advertising placement, platform uptime, savings, revenue, leads, rankings, or other performance. Neither party will be liable for indirect, incidental, special, punitive, or consequential damages. ClickSensei's aggregate liability arising from the service will not exceed the fees paid to ClickSensei for the affected service during the twelve months before the event giving rise to the claim, except where applicable law does not permit that limitation.

11. Indemnity

You will defend and indemnify ClickSensei from third-party claims caused by your unlawful use, content, breach of these Terms, infringement of rights, unauthorized data or account access you provide, or services you perform. ClickSensei will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on ClickSensei without written consent.

12. Governing law, changes, and notices

These Terms, and any dispute arising out of or relating to these Terms or the services, are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to any mandatory provisions of applicable law, each party irrevocably submits and attorns to the exclusive jurisdiction of the courts of the Province of Quebec sitting in the judicial district of Montreal, Quebec. ClickSensei may update these Terms and will request renewed acceptance when a material new version applies. Legal notices to ClickSensei must be sent to admin@clicksensei.com.

Agency schedule

An Agency confirms it has authority to add clients, connect accounts, manage users, set or request budgets, and instruct ClickSensei on their behalf. The Agency remains responsible for its client relationship, representations, billing, permissions, and staff. Agency owners and admins must assign the least access reasonably required and promptly deactivate users who no longer need access.

Client schedule

A Client understands that its Agency may administer access, budgets, reporting, and support. The Client authorizes ClickSensei and assigned account personnel to process connected account data and provide analysis. The Client must communicate through the platform ticket system when required and must not disclose credentials or confidential project information to unauthorized parties.

Service Partner schedule

A Service Partner is an independent business and not an employee, agent, or representative of ClickSensei. Approval does not guarantee opportunities. The Service Partner must submit truthful qualifications, keep proposals confidential, perform accepted work professionally, follow the agreed scope, protect client information, use project communications and documents only for authorized work, and comply with the Core Services and non-circumvention rules above.
